PREAMBLE:

We, the Parents/Guardians of Pine Forge Academy students, believe it to be our privilege and duty to unite with Pine Forge Academy (herein after “the Academy”) in providing Christian education for our children that will promote academic excellence, the fullest development of each child’s potential, and prepare our children for the highest service to God, the church, the community and humanity. It is our purpose to promote the goals of Christian education at Pine forge Academy by maintaining a viable working relationship among students, faculty, parents and the Board of Trustees, and carry out specific projects and activities for the benefit of the school and its students.

Realizing that these worthy goals can only be realized through sacrificial effort by all of us, and recognizing the importance of taking positive steps toward attaining these goals, we hereby ordain and adopt the following by-laws to govern in conducting the business of the Association.

ARTICLE I – NAME AND LOCATION

The Name of this organization shall be the Pine Forge Academy Parents’ Association (herein after “Parents’ Association”) with principal offices located at Pine Forge Academy, Pine Forge, Pennsylvania.

ARTICLE II – PURPOSE OF BY-LAWS

These by-laws shall govern the activities of the Parents’ Association.

ARTICLE III – MEMBERSHIP

Section 1 Parents or guardians of students at Pine Forge Academy may become voting members by the payment of annual dues per family. For purpose of these by-laws, parents or guardian is defined as parent, guardian, or student sponsor. These are active voting members.

Section 2 Membership can include auxiliary members who are not parents, guardians or student sponsors, but who have a vested interest in the school. These are non-voting members.

Section 3 Elected officers of the Parents’ Association may continue to serve as active members of the Association Board if their child is attending Pine Forge Academy or returning within the same school year.

ARTICLE IV – EXECUTIVE BOARD

Section 1 Composition: The Executive Board shall consist of the President, Executive Vice President, General Vice President, Recording Secretary, Assistant Recording Secretary, Corresponding Secretary, Assistant Corresponding Secretary, Treasurer and Assistant Treasurer of the Parents’ Association. Other Board members shall consist of Committee Chairpersons and Areas Representatives. The Headmaster and Principal of Pine Forge Academy shall be non-voting members of the Executive Board.

Section 2 President: The President of the Parents’ Association shall serve as chairperson of the Board. In the absence of the President, the Executive Vice President will serve as chairperson.

Section 3 Vacancies: All vacancies occurring prior to the electoral meeting may be filled by the board. In the event the President cannot fulfill the term of office, the Executive Vice President will become the Acting President until the Board selects a President.

Section 4 Duties: The Executive Board shall plan and direct the activities necessary to carry out the objectives of the Parents’ Association.

Section 5 Quorum: A quorum will consist of three (3) or more Executive Board members present.

Section 6 The Board shall act on all Parents’ Association matters between regular meetings of the Parents’ Association, and shall take action and assume responsibility as directed by the Parents’ Association subject to final approval by the Parents’ Association. The Executive Board shall also be responsible for preparing amendments to these By-Laws to be submitted to the members of the Parents’ Association for consideration. A draft of the proposed by-laws shall be submitted to the members at least three weeks before the electoral meeting.

Section 7 The Executive Board shall meet at least three times during the school year. The meetings shall be held at the academy and at any other place mutually agreed upon and /or through the use of a conference call.

ARTICLE V – OFFICERS

Section 1 Officers: The officers of the Parents’ Association shall be the President, Executive Vice President, General Vice President, Recording Secretary, Assistant Recording Secretary, Corresponding Secretary, Assistant Corresponding Secretary, Treasurer and Assistant Treasurer of the Parents’ Association.

Section 2 Duties:

President. The President shall be Executive Officer of the Parents’ Association, preside at meetings of the Parents’ Association, The Executive Board and shall act as liaison with the school administration and Pine Forge Academy Board of Trustees which includes serving on the Pine Forge Academy Board of Trustees. The President may with the approval of the Executive Board appoint committees not already established.

Executive Vice President. The Executive Vice President shall assume the duties of President in his/her absence. In cases of the resignation of the President, the Executive Vice President shall serve as the Acting President until a President is selected by the Executive Board.

General Vice President. The General Vice President shall assume the duties of President in the absence of the President and Executive Vice President. The General Vice President shall be the Parliamentarian of the Parents’ Association.

Recording Secretary. The Recording Secretary shall keep the minutes of the Parents’ Association and Executive Board. The Recording Secretary shall maintain a file of minutes and all other essential records, including the By-laws, which shall be transferred to the succeeding Recording Secretary by the President-elect.

The Recording Secretary shall be responsible for relating to the Parents’ Association activities and the Presidents’ report.

Assistant Recording Secretary. The Assistant Recording Secretary shall assistant the Recording Secretary as needed.

Corresponding Secretary. The Corresponding Secretary shall keep the current list of the names and addresses of all parents and guardians and shall report changes in the list to the Executive Board.

Assistant Corresponding Secretary. The Assistant Corresponding Secretary shall assist the Corresponding Secretary as needed.

Treasurer. The Treasurer shall collect and receive all monies due and shall be the custodian of all monies raised by the Parents’ Association. The Treasurer shall deposit all monies in a bank designated by the Executive Board. Checks may be signed by the President or Recording Secretary. All checks shall require one of two signatures – that of either the Treasurer or President. The Treasurer shall make payments in accordance with the budget upon receipt of itemized statement or receipts. Expenses not budgeted shall be incurred and paid only upon order of the Executive Board. Large expenditures should incur with the voting of the Parents’ Association at large.

The Treasurer shall keep accurate accounts and shall present financial statements at the regular meeting of the Parents’ Association and the Executive Board. The Treasurer shall be chairperson of the Finance Committee.

Assistant Treasurer. The Assistant Treasurer shall assist the Treasurer as needed.

ARTICLE VI – TERM OF OFFICE

Officers shall hold their positions for a term of two years.

ARTICLE VII – STANDING COMMITTEES

The standing Committees of the parents’ Association shall be:

Section 1 Finance Committee:

The Finance Committee shall propose the budget and shall research and implement fund-raising activities. All fund raising projects shall receive prior approval of the Executive board. All proceeds from fund-raising projects shall be added to the Parents’ Association’s General Treasury, and shall be dispersed as approved by the Executive Board or Parent’s Association at large. Special interest groups may suggest possible uses for funds raised through their committees. A written proposal shall be presented to the Executive Board for said purpose.

Section 2 Curriculum/Guidance Committee:

The curriculum/Guidance Committee shall review and evaluate the curriculum/career development needs of the Academy and its students and act as liaison with the Academy Administrators in this area

Section 3 Publicity Committee:

The Publicity Committee shall be responsible for disseminating information concerning the Parents’ Association and the Academy. The Committee shall be responsible for the publication of a Newsletter, which shall be sent to all student families. The name of the Association Newsletter shall be the “PFA Parents’ Courier”. The Corresponding Secretary shall be the chairperson of this committee. The Committee will serve as liaison with the Academy Public Relations Department.

Section 4 Student Affairs Committee:

The Student Affairs Committee shall act as liaison between students and the Academy administration in matters pertaining to student life and activities and shall formulate recommendations and/or specific activities or desirable proposals for improving the overall quality of student life. The Executive Vice President shall be chairperson of this committee.

Section 5 Economic Development Committee:

The Economic Development Committee shall serve as a resource center to the Academy in the development and promotion of industrial business projects or funding designed to enhance the economic well being of the Academy.

Section 6 Committee Membership (Compositions):

All Committees shall consist of one member of the Executive Board with four members to be selected by the Executive Board or Parents' Association at large. The President may with the approval of the Executive Board appoint additional committee members as the need may arise. The President shall be an ex-officio member of all Standing and Special Committees. Committee members shall serve one year terms.

Section 7 Special Committees:

The Executive Committee shall be empowered to appoint any other committee, which it may deem necessary for the most efficient discharge of its responsibilities.

Section 8 Committee Chairpersons:

For committees without a standing Chairperson by nature of Parents’ Association Elected office, the President shall appoint an acting committee chairperson for the purpose of initiation for a first committee meeting. All committees without a standing chairperson shall thereafter by selection by the members of the committee. Each chairperson shall provide a written report at the Fall Parent Weekend meeting and such other reports as may be requested by the Executive Board.

ARTICLEVIII – ANNUAL MEETINGS

Section 1 There shall be three meetings annually. These meetings shall be held at the Academy. The first meeting shall be held during Registration Weekend. At this meeting, all parents shall receive a copy of the By-Laws of the Pine Forge Academy Parents’ Association.

Section 2 The second meeting shall take place on the Sunday Morning of the Fall Parent’s Weekend At this meeting the faculty and staff will be invited to discuss issues and concerns as documented by the Executive Board and from the Parents’ Association Membership.

Section 3 The third meeting shall be on the Sunday Morning on the Spring Parent’s Weekend. At this meeting, the election of Standing Committees shall be held annually and the election of officers shall be held bi-annually – on odd numbered years.

ARTICLE IX – NOMINATIONS AND ELECTIONS

Section 1 Nominating Committee

Nominating Committee shall consist of nine members and shall be elected by the Parents’ Association at large at the Fall Meting annually. On even-numbered fall meetings the nominating committee will be responsible for the nomination of Executive Board Officers and Standing Committee; on odd numbered Fall Meetings, the nominating committee will be responsible for the nomination of Standing Committees.

The Nominating Committee shall receive recommendations, self-nominations and Executive Board input for each office of the Executive Board through the end of Christmas holiday; they will then interview the proposed candidates including ascertaining acceptance of their nomination. After careful review, a slate of at least two and no more than four candidates will be made available to the Parents’ Association membership at least three weeks before election. Independent nominations shall be accepted from the floor on the date of the election.

Section 2 Elections

Elections shall be held at the Spring Meeting of odd numbered years. Elections shall be by ballot. Voting for standing committees will be done by acclamation.

Section 3 Terms of Office

Officers and Standing Committee members shall assume office on June 1 of odd numbered years.

ARTICLE X - FISCAL YEAR

The fiscal year of the Parents’ Association shall be from June 1 to May 31 of each year. There shall be an independent audit of the Parents’ Association’s financial books at the end of the fiscal year.

ARTICLE XI – AMENDMENTS

These by laws may be amended at any General Meeting of the Parents’ Association by two-thirds vote of those present and voting, provided the amendments have been submitted to the membership at least three weeks in advance of the meeting. Advance submission may be waived by a two-thirds majority vote.
